Terms of Service

By accessing or using any Syrin Labs product or service - including the Syrin SDK, Syrin CLI, Syrin Runtime, Syrin Nexus, or our website at syrin.ai (“Services”) - you agree to be bound by these Terms of Service (“Terms”). If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not access or use our Services.

Syrin Labs provides execution infrastructure and observability tooling for AI agents, including:

• Syrin SDK (Open Source) - an open-source library for integrating agent observability into your applications, available under the MIT Licence on GitHub
• Syrin Nexus - a hosted cloud platform for collecting, storing, and visualising agent traces and metrics emitted by the SDK
• Syrin CLI and Runtime - developer tooling for managing and executing agents locally or in production

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice where practicable.

To access Syrin Nexus, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You must notify us immediately at hey@syrin.ai if you suspect any unauthorised access to your account. We are not liable for losses arising from your failure to protect your credentials.

You must be at least 16 years of age to create an account or use the Services.

You agree not to use the Services to:

• Violate any applicable law or regulation
• Transmit malicious code, viruses, or any content designed to harm systems or users
• Attempt to gain unauthorised access to any part of the Services or third-party systems
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or attempt to extract source code from closed-source components of the Services
• Use the Services for cryptocurrency mining, spam, or any automated abusive activity
• Resell or sublicence access to the Services without our written consent

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

The Syrin SDK and CLI are open-source software released under the MIT Licence. Your use of these components is governed by that licence in addition to these Terms where applicable. The MIT Licence is available in the respective GitHub repositories.

Syrin Nexus, its API, dashboard, and proprietary infrastructure are not open source and are subject solely to these Terms.

Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described therein.

Agent trace data and telemetry you send to Syrin Nexus remains your data. We process it solely to provide the Services and do not use your agent data to train models or share it with third parties, except as described in the Privacy Policy.

Certain plans for Syrin Nexus are provided free of charge. Paid plans, where available, are billed in advance on a monthly or annual basis. Refunds are handled in accordance with our Refund Policy, which is incorporated into these Terms by reference.

We may change our pricing with 30 days' notice. Continued use of the Services after a price change constitutes your acceptance of the new pricing.

If payment fails, we may suspend your access to paid features until payment is resolved. We will make reasonable efforts to notify you before suspension.

Syrin Labs retains all intellectual property rights in the Services (excluding open-source components), including the Syrin Nexus platform, trademarks, logos, and proprietary documentation.

You retain ownership of all data, agent code, and content you submit to the Services. By using Syrin Nexus, you grant us a limited licence to process your data solely for the purpose of providing the Services.

The “Syrin” name, logo, and related marks are trademarks of Syrin Labs. You may not use them without our prior written consent.

Each party agrees to keep confidential any non-public information disclosed by the other that is marked as confidential or that would reasonably be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

AI agents and their outputs are inherently unpredictable. Syrin Labs provides observability and control tooling but is not responsible for the actions, outputs, or consequences of AI agents running on or monitored by our platform.

To the fullest extent permitted by law, Syrin Labs and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Services.

Our aggregate liability to you for any claims arising from these Terms or your use of the Services will not exceed the greater of (a) the total fees you paid to Syrin Labs in the 12 months preceding the claim, or (b) USD $100.

You agree to indemnify and hold harmless Syrin Labs and its affiliates, officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law; or (c) any content or data you submit to the Services that infringes a third party's rights.

You may terminate your account at any time by contacting us at hey@syrin.ai. We may terminate or suspend your access for violation of these Terms, non-payment, or for any other reason with reasonable notice.

Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination - including intellectual property, disclaimer of warranties, limitation of liability, and indemnification - will remain in effect.

These Terms are governed by the laws of the jurisdiction in which Syrin Labs is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of that jurisdiction.

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page and updating the “Last updated” date. For significant changes, we will also notify you by email. Continued use of the Services after the changes take effect constitutes your acceptance.
